1. Introduction

These Terms of Use set out the terms and conditions governing access to, browsing and use of the Omni Messaging website operating under the domain omni-messaging.mstat.com, including any individual webpage, form, content, informational material, functionality or link made available through it (the “Omni Site” or the “Website”).

 

The Website is owned and operated by “MSTAT S.A.” and/or “MSTAT Société Anonyme for the Provision of Software Production & Trading and Radio Material Services” (the “MSTAT”, the “Company”, “we”, “us”, “our”), having its registered offices in Athens, at 6 Sinopis Street and 11 Evinou Street, 115 27 Athens, Greece.

 

By accessing, browsing or using the Website, the visitor or user (the “User” or “you”) confirms that they have read, understood and accepted these Terms of Use. If you do not agree with these Terms of Use, you must not use the Website.

 

These Terms of Use primarily govern the use of the Omni Site as an informational and promotional website. Use of the Omni Messaging Platform itself, including following account creation, trial access, order placement, service purchase, SLA, data processing agreement or any other specific commercial arrangement, may also be governed by additional contractual, technical, commercial or regulatory terms, which shall prevail in the event of conflict with these Terms of Use.

 

2. Purpose of the Website

The Omni Site presents the Omni Messaging Platform, a web-based multichannel business communication platform developed by MSTAT and primarily addressed to businesses, organisations and professionals wishing to design, organise, send, monitor and optimise communication campaigns or messages through multiple channels, including, indicatively, SMS, Viber, Email, RCS, WhatsApp and Push Notifications.

 

Through the Website, MSTAT provides information, among other things, on:

 

(a) the features and capabilities of the Omni Messaging Platform;

(b) audience, contact, list, segment and opt-in field management;

(c) campaign creation, management and sending;

(d) creation of landing pages, forms, content and rich media assets;

(e) available communication channels and their functionality;

(f) analytics, reporting and real-time monitoring capabilities;

g) global SMS aggregation, API integrations, SMPP connections and related business connectivity services;

h) informational content, news, knowledge base materials, contact forms, demo or trial requests and newsletter subscription.

 

The information contained on the Website is provided for general informational and promotional purposes and does not constitute personalized technical, legal, regulatory, tax, commercial or business advice.

 

3. Intended audience

The Website is primarily addressed to businesses, organizations, public or private bodies, professionals, executives, partners, service providers, prospective customers and other users acting in a professional or business context.

 

The Website and the services presented on it are not directed to minors. By using the Website, you represent that you are of legal age and have the legal capacity required to accept these Terms of Use and, where you act on behalf of a legal entity, that you have the necessary authority to act on its behalf.

 

4. Acceptance and amendment of the Terms of Use

MSTAT may amend, update or supplement these Terms of Use at any time, in particular for reasons of compliance with legislative or regulatory changes, changes to the Website, the Omni Messaging Platform, MSTAT’s business practices, requirements of cooperating providers or the technical and commercial conditions under which services are provided.

 

Any amendment shall take effect upon publication on the Website, unless otherwise stated. Continued use of the Website following publication of revised Terms of Use constitutes acceptance of them. Users should review the Terms of Use periodically.

 

5. Access to the Website

Access to the Website is generally provided freely, subject to technical restrictions, maintenance works, security reasons or other circumstances beyond MSTAT’s reasonable control.

MSTAT makes reasonable efforts to ensure the secure, smooth and uninterrupted operation of the Website. However, MSTAT does not warrant that the Website will operate without interruptions, delays, errors, technical failures or incidents of unavailability.

 

MSTAT may modify, suspend, restrict or discontinue, temporarily or permanently, all or part of the Website, its content or its functionalities without prior notice, where this is necessary or reasonable for technical, operational, regulatory or security reasons.

 

6. Contact forms, demo, trial and newsletter

The Website may provide contact forms, demo requests, trial requests, partnership forms, support forms, newsletter subscription forms or other mechanisms for submitting details and requests to MSTAT.

 

The User must submit true, accurate, complete and up-to-date information. It is prohibited to submit third-party information without a lawful basis or authorization, or to use false identities or misleading details.

 

Submission of a demo, trial or contact request does not create an obligation for MSTAT to provide access to the Omni Messaging Platform, enter into a contract, accept a partnership request or provide a specific commercial, technical or financial proposal. Provision of services is subject to assessment, availability, technical feasibility, contractual agreement and compliance with applicable requirements.

 

The User should not submit through open forms or ordinary email any special categories of personal data, confidential information, trade secrets or information that is not necessary for handling the relevant request, unless a specific arrangement with MSTAT has been made in advance.

 

7. Trial access and accounts

Where trial access, account creation or connection to the Omni Messaging Platform is made available through the Website or a connected domain, such access may be subject to additional terms, technical restrictions, acceptable use policies, usage limits, identification procedures, commercial approval or a specific agreement.

 

A User who receives access credentials or other authentication information is responsible for their confidentiality, secure storage and proper use. Any action performed through the User’s account or credentials shall be deemed, vis-à-vis MSTAT, to have been performed by the User or under the User’s responsibility, unless proven otherwise.

 

The User must promptly notify MSTAT in the event of suspected or confirmed unauthorized access, loss of credentials, security breach or account misuse.

 

MSTAT may suspend or restrict access to an account or functionality where there are indications of unauthorized use, breach of these Terms of Use, breach of law, service misuse, security threat or request by a competent authority.

 

8. Permitted use of the Website

The User must use the Website solely for lawful and legitimate purposes compatible with the Website’s purpose.

 

By way of indication, the following are prohibited:

 

a) use of the Website in breach of Greek, EU or international law;
b) transmission of malicious code, viruses, malware, spyware, ransomware or other harmful software;
c) attempts to gain unauthorised access to MSTAT’s or third parties’ systems, servers, accounts, databases or infrastructure;
d) penetration testing, vulnerability scanning, scraping, crawling, harvesting or automated data collection without prior written authorisation;
e) interference with, overload, disruption or degradation of the Website’s operation;
f) use of the Website for fraud, deception, phishing, spam or unauthorised commercial communications;
g) infringement of intellectual property, personality, privacy, personal data or other rights of MSTAT or third parties;
h) alteration, copying, reproduction, decompilation, reverse engineering or unauthorised exploitation of the Website’s software, content, structure or elements;
i) use of the Website in a manner that may harm MSTAT’s reputation, systems, services, customers, partners or end users.

 

9. Use of messaging services and compliance obligations

Where the User gains access to or uses services of the Omni Messaging Platform or connected messaging services, the User must fully comply with applicable law, in particular rules on personal data protection, confidentiality of electronic communications, commercial communications, consumer protection, advertising, telecommunications, cybersecurity and prevention of unlawful or abusive use of networks and services.

 

The User is solely responsible for:

 

a) the lawfulness of the collection, import, storage and use of contacts, lists, numbers, emails, identifiers or other data imported into the platform;
b) the existence of an appropriate legal basis for each sending, campaign or communication;
c) maintaining and documenting opt-in, opt-out, unsubscribe, blacklist and other consent or objection mechanisms;
d) the accuracy, lawfulness and suitability of the content sent;
e) the selection and lawful use of sender IDs, brand names, templates, landing pages, forms, links, media assets and other identity or content elements;
f) compliance with the policies, terms and technical specifications of third-party providers, such as telecommunications providers, aggregators, OTT messaging providers, messaging applications, email providers, app stores or other infrastructure providers;
g) provision of appropriate notice to end recipients, where required;
h) refraining from sending unsolicited, unlawful, misleading, offensive, harmful, abusive or unauthorised messages.

 

MSTAT does not, as a rule, determine the purposes of customer campaigns, the content of messages, the categories of recipients, the legal basis for communications or the commercial relationship between the customer and end recipients. The corresponding obligations rest with the customer/user of the platform, unless otherwise agreed.

 

MSTAT may implement technical, organizational or contractual mechanisms for abuse prevention, security, network protection, anti-spam, fraud, phishing and artificially inflated traffic prevention, prevention of unauthorized sendings or breach of third-party provider policies. Such mechanisms may include monitoring, throttling, rate limits, destination restrictions, sender ID controls, template review, blacklist controls, traffic analysis, suspension or rejection of sendings, in accordance with applicable law and the relevant agreement.

 

9. User content

The User retains rights in the content, data, contacts, texts, images, logos, media, templates, forms, landing pages or other elements that the User may submit, upload, import or use through the Website or the Omni Messaging Platform, subject to third-party rights.

 

By submitting or using such content, the User grants MSTAT the necessary, non-exclusive, non-transferable, limited licence to use, host, reproduce, store, technically process, transmit and display the content solely to the extent required for the provision, security, support, technical operation and compliance of the services.

 

The User represents and warrants that they have all necessary rights, licences, authorisations or lawful bases for submitting and using the content, and that the content does not infringe third-party rights, applicable law or these Terms of Use.

 

MSTAT is not required to proactively monitor User content. However, it may review, restrict, reject, remove or suspend such content where there is an indication of breach of law, these Terms of Use, a specific agreement, third-party provider policies or a risk to the security, reliability or lawful operation of the services.

 

11.Intellectual and industrial property rights

The Website, the Omni Messaging Platform, software, source and object code, architecture, design, structure, graphics, texts, diagrams, visual elements, logos, trademarks, domain names, databases, know-how, documentation, trade names and any other element or material of MSTAT are protected by Greek, EU and international law on copyright, industrial property, trademarks, unfair competition and confidentiality.

 

Use of the Website does not grant the User any ownership right, exploitation license, transfer or other right in the Website, the platform, software, trademarks or MSTAT content, other than the limited, revocable, non-exclusive and non-transferable right to access and use the Website in accordance with these Terms of Use.

 

Without MSTAT’s prior written authorization, it is prohibited to copy, reproduce, modify, translate, adapt, distribute, republish, store, sell, rent, upload, publicly present, frame, mirror, reverse engineer or otherwise exploit the content, software or elements of the Website.

 

Logos, marks, trade names or distinctive signs of third parties displayed on the Website belong to their respective owners and are used, where applicable, for reference, collaboration or presentation purposes.

 

12. Commercial information, performance and no guarantee of results

Descriptions of functions, features, channels, capabilities, technologies, performance, statistics, open rates, engagement rates, coverage, routing, SLA, certifications, recognitions or other elements on the Website are provided for informational and promotional purposes.

 

Unless expressly agreed in a specific written contract, such information does not constitute a contractual warranty, SLA, commitment to achieve a specific result, availability, delivery speed, delivery rate, open rate, commercial performance, compliance or fitness for a particular purpose.

 

The performance of messaging services depends on multiple factors not fully controlled by MSTAT, including mobile networks, international carriers, aggregators, OTT providers, email providers, recipient devices, user settings, rules of third-party platforms, regulatory requirements, data quality, campaign content and technical availability.

 

13. Third-party links

The Website may contain links to websites, applications, platforms, maps, social networks, partners, providers or other third-party services. Such links are provided for the User’s convenience or information.

 

MSTAT does not control and is not responsible for the availability, security, accuracy, content, terms of use, privacy policies, cookies or practices of such third-party services. Access to third-party services is at the User’s sole responsibility and is subject to the terms and policies of the relevant third parties.

 

14. Personal data protection and cookies

The processing of personal data in connection with use of the Website is governed by the applicable Privacy Policy of the Omni Site, which constitutes a separate transparency notice under the General Data Protection Regulation (EU) 2016/679, Greek Law 4624/2019 and, where applicable, Greek Law 3471/2006 on privacy in electronic communications.

 

The Website may use cookies or similar technologies in accordance with the Privacy Policy, the cookie policy or the available consent management tool.
Where a corporate customer uses the Omni Messaging Platform to send campaigns, manage contacts, collect replies or create forms and landing pages, the customer is generally the controller of the end recipients’ data and MSTAT acts, as applicable, as processor or independent controller for distinct purposes, in accordance with the applicable agreement and privacy policy.

 

15. Security

MSTAT implements technical and organizational security measures intended to protect the Website, systems, services, platform and data against unauthorized access, loss, misuse, alteration, disclosure or destruction.

 

Such measures may include, as applicable, access controls, logging, role-based access, encryption or secure communication protocols, incident management procedures, technical monitoring, business continuity and internal security policies.

 

Despite the implementation of reasonable measures, no information system or online service can be considered absolutely secure or free from risk. The User must take their own appropriate security measures, such as strong passwords, updated software, device protection and caution against phishing or unauthorized requests.

 

16. Suspension, restriction or termination of use

MSTAT may suspend, restrict or terminate a User’s access to the Website or connected services, temporarily or permanently, where:

 

a) these Terms of Use or a specific agreement are breached;
b) there is unlawful, abusive, fraudulent or harmful use;
c) there is a risk to the security, availability or integrity of systems or networks;
d) compliance with law, court order, authority request or third-party provider policies is required;
e) third-party rights are infringed or unauthorised communications are sent;
f) this is required to protect MSTAT, its customers, partners, end recipients or networks.

 

Suspension or termination of access does not affect any other rights of MSTAT under law or contract.

 

17. Disclaimer of warranties

The Website and its content are provided “as is” and “as available”. MSTAT makes reasonable efforts to ensure the accuracy, currency and completeness of information but does not warrant that the content is always complete, accurate, up-to-date, fit for a specific purpose or free from errors.

 

MSTAT does not warrant that the Website will be continuously available, secure, compatible with every device or software, free from viruses or harmful elements, or that any errors will be corrected immediately.

 

The User uses the Website at their own responsibility and must independently assess the suitability of the information or services for their needs.

 

18. Limitation of liability

To the maximum extent permitted by applicable law, MSTAT shall not be liable for any direct, indirect, incidental, special, consequential or punitive loss or damage, loss of profits, loss of revenue, loss of business opportunity, loss of data, business interruption or reputational harm arising out of or in connection with use of, or inability to use, the Website, reliance on Website information, technical interruptions, errors, delays, third-party attacks, third-party services or unauthorised use.

 

Nothing in these Terms of Use limits or excludes liability that cannot be limited or excluded under applicable law, in particular in cases of wilful misconduct or gross negligence.

 

19. Indemnity

The User agrees to indemnify and hold harmless MSTAT, its officers, employees, partners, suppliers and affiliated companies from and against any claim, demand, loss, fine, sanction, cost or expense, including reasonable legal fees, arising from:

 

a) breach of these Terms of Use;
b) unlawful or unauthorised use of the Website or platform;
c) the User’s content, data, contact lists, campaigns or communications;
d) breach of personal data, electronic communications, advertising, consumer protection or intellectual property law;
e) claims by end recipients, authorities, third-party providers or partners connected with the User’s use of the services.

 

20. Force majeure

MSTAT shall not be liable for any delay, inability, restriction or interruption affecting the Website or services due to force majeure events or circumstances beyond its reasonable control, including natural disasters, fire, flood, war, terrorist acts, strikes, pandemics, governmental measures, power outages, telecommunications network failures, cyberattacks, failures of third-party providers or changes in policies of third-party platforms.

 

21. Governing law and jurisdiction

These Terms of Use are governed by Greek law, subject to mandatory provisions of EU or other applicable law.

 

Any dispute arising out of or in connection with these Terms of Use, the Website or its use shall fall within the exclusive jurisdiction of the materially competent Courts of Athens, unless a specific agreement or mandatory provision of law provides otherwise.

23. Language versions

These Terms of Use may be made available in Greek and English. In the event of discrepancy between the two language versions, the Greek version shall prevail, unless otherwise agreed in writing with a specific customer or contracting party.
